SECTION 75:15-15-1. Governing authority

- (a) The agency shall have a governing authority. In the instance of Native American programs, the tribal council may be the governing body.(b) The governing authority shall establish, and function under, written by-laws. These by-laws shall minimally include:(1) Designation of regular quarterly meetings to be held in accordance with the Open Meeting Act;(2) Recording and retention of written minutes;(3) Eligibility criteria, selection, terms, responsibilities, power, and duties of members;(4) Term limitations, removal and filling of vacancies;(5) Attendance policy;(6) Prohibition on staff serving as voting members of the governing authority;(7) Establishment of a quorum; and(8) Conflict of interest agreement.(c) Compliance with 75:15-15-1 shall be determined by:(1) Documents of incorporation or registration as a business entity or documentation from the appropriate Tribal Council;(2) Review of the written by-laws; and(3) Review of the governing authority's minutes.
